1. Who we are
FormationXperts provides company formation, tax registration, registered address, compliance and related business support services for the United States and the United Kingdom.
We are a service provider, not a law firm, accountancy practice or financial institution. We do not provide legal advice, tax advice or investment advice. Where your situation requires a professional opinion, we will say so and coordinate with a licensed professional rather than offering one ourselves.
2. What you are buying
You are engaging us to prepare and submit filings correctly and on time, and to support you through the process. The scope of each service is described on its page and confirmed in your order.
You are not buying a guaranteed outcome from a third party. Approval of a company formation, a tax identification number, a registration or a bank account rests entirely with the relevant government authority or financial provider.
3. Your responsibilities
Our work depends on what you give us. You agree to:
- Provide accurate, complete and current information about yourself and your business
- Provide valid identification documents where required by law or by a provider
- Not use our services for any unlawful purpose, or to disguise ownership for an unlawful purpose
- Respond to requests for information within a reasonable time, since delays on your side extend timelines on ours
- Meet your own ongoing obligations, including filings and taxes, whether or not you engage us for them
4. Fees and government charges
Our U.S. formation packages are priced all-in: the figure shown includes both our service fee and the state filing fee. Individual add-on services are priced separately from government and third-party fees, which is stated on each service.
Government fees are set by the relevant authority and can change without notice. Where a fee changes between your order and your filing, we will contact you before proceeding. Ongoing state renewal costs are the state’s own charges and are not marked up by us.
5. Timelines
Any timeline we quote is an estimate based on typical processing. Government authorities set their own pace, and processing times vary with workload, filing method and the completeness of your information.
We do not accept liability for delays caused by a government authority, a financial provider, or incomplete information supplied by you.
6. Banking and payment assistance
Banking and payment gateway services are assistance services. We prepare your application, advise on the right provider and category, and guide you through submission.
Account approval, availability, features, pricing and continued operation are decided solely by the financial provider. We have no authority over those decisions and cannot guarantee any outcome.
7. Limitation of liability
To the extent permitted by law, our total liability arising out of or in connection with a service is limited to the fees you paid us for that service.
We are not liable for indirect or consequential loss, including lost profits, lost business opportunity, or losses arising from decisions made by a government authority or financial provider.
8. Termination
You may stop using our services at any time. We may decline or discontinue service where we are required to by law, where information provided is inaccurate or fraudulent, or where a service would be used unlawfully.
Where we discontinue service, refunds are handled under our Refund Policy.
9. Changes to these terms
We may update these terms. The version in force is the one published here on the date of your order. Material changes will be reflected in the "last updated" date on this page.
