Good to know

Do I need to file if my company didn’t trade?

Yes. A dormant company still files a confirmation statement and (dormant) accounts every year. We can handle both.

What if I miss the deadline?

Late filing at Companies House carries automatic penalties and can lead to strike-off. We track your dates to avoid this.

What is a confirmation statement?

An annual filing confirming that the details Companies House holds — directors, shareholders, PSCs, addresses, SIC codes — are still correct. It is a confirmation, not an update: changes are filed separately as they happen.

Do dormant companies have to file?

Yes. A dormant company files both a confirmation statement and dormant accounts. Trading has nothing to do with it — if the company exists, it files.

What happens if I miss the deadline?

Companies House can strike the company off the register, and late accounts carry automatic penalties that escalate the longer they are outstanding. Directors can also be held personally responsible for persistent failure.

When are my accounts due?

Generally nine months after your accounting reference date for the first set, and each year after. The confirmation statement runs on its own separate cycle, which is why the two are easy to confuse.

Is this the same as my tax return?

No. Companies House gets your accounts and confirmation statement; HMRC gets your Corporation Tax return. Two bodies, two filings, two deadlines — a common and costly misunderstanding.
