Why do I need a Registered Agent?

State law requires every company to have one so that legal and government documents can be reliably delivered. Without a valid agent, a company can fall out of good standing.

Can I be my own agent?

Only with a physical address in the state, available during business hours. For most non-residents, a professional agent is the practical choice.

Can I be my own registered agent?

Only if you have a physical street address in the state of formation and are there during business hours. A non-resident founder has neither, which is why the service exists. A PO box never qualifies.

What actually gets sent to my agent?

Service of process if the company is sued, state correspondence, annual report notices and tax notices. Not marketing post — real legal and government mail, which is why missing it matters.

What happens if I do not have an agent?

The state can suspend your company and eventually dissolve it administratively. Worse, legal papers can be served without you ever seeing them, and a judgment can be entered against a company that never knew it was being sued.

Do I need one in every state?

One in your state of formation, plus one in any state where you register as a foreign entity. Businesses operating in several states end up with several agents.

Can I switch agents mid-year?
