What is a BOI report?

Beneficial Ownership Information reporting identifies who ultimately owns or controls a company, under the U.S. Corporate Transparency Act. It must be updated when ownership or key details change.

What happens if I miss a deadline?

A company can fall out of good standing and face state penalties or administrative dissolution. We track deadlines so this doesn’t happen.

What exactly does this cover?

Your annual state renewal or annual report, plus the IRS filings a foreign-owned LLC must make — Forms 5472 and 1120. It is the whole yearly obligation in one package rather than separate line items.

Do I have to file if the company made no money?

Yes. Both the state renewal and Form 5472 are due regardless of profit, and a dormant company is not exempt. This surprises people every year and the penalties are not small.

What is Form 5472 and why does it matter?

A reporting form required of foreign-owned single-member LLCs, covering transactions between the company and its owner. The penalty for not filing starts at $25,000 — it is easily the most expensive thing to overlook in a U.S. company.

What happens if I have already missed a deadline?
